Valentin was also involved among others in the largest IP litigation to date in Romania as well as in a significant number of complex real estate transactions.

Advised Goldman Sachs International in connection with a proposed EUR 330 million loan facility, 80 percent sovereign guaranteed and 20 percent secured with assets, to Rafo SA for the purposes of undertaking the modernization of its refinery in Romania as well as in order to ensure funding for working capital;
Advised ING Bank Romania in connection with regulatory issues regarding the implementation and provision of certain electronic financial services as well as general regulatory advice;
Advised a leading Greek bank in connection with the restructuring of a EUR 75 million financing by the above mentioned bank and Piraeus Bank of the acquisition by HSBC of a local company operating a large retail park near Bucharest;

Advised RBS Asset Management Limited in connection with an equity and debt investment in Gada, a UK holding company in the healthcare business, supplying products and services to hospitals in Italy, Romania and Turkey, in order to assist it in the making of certain tactical acquisitions of similar companies in Eastern Europe;
Advised British American Tobacco in connection with general commercial matters on day-to-day business activity, as well as with respect to sensitive labor issues;
Advised Martifer Group, on the sell side, in connection with the proposed sale of up to 100 percent of the shares in the project company developing a 42 MW project in the Babadag area by way of a competitive process with multiple bidders;
Advised ImWind in connection with the proposed joint venture for the development of up to 100 MW of wind projects in the Dobrogea area with a well established Romanian wind farm developer and the acquisition of a micro-hydropower facilities portfolio in central Romania;
Advised Kraft Foods Romania in connection with several corporate, contractual and labor matters, assistance in governance and compliance issues.

Advised the leading Portuguese energy group Martifer in connection with the development and EUR 23 million project financing of a 42 MW wind farm in south-east Romania granted by Banca Comerciala Romana, member of Erste Group. This is most likely the most important project financing granted by a local commercial bank in the Romanian wind farm sector to date;
Advised a consortium of energy companies (owned by local developers and Verbund) in connection with the structuring and negotiation of an operation agreement for a group of wind farms with aggregate power of 700 MW and in relation to other project contracts. This is one the largest wind farm projects on the Romanian market; it is also the first time a joint connection solution has been accepted by Transelectrica (estimated project value: EUR 1 billion);
Advised Eurocape New Energy Ltd, affiliated group of Stinag (Stuttgart Investment) AG, in connection with the development and financing of a 9 MW wind project in Oravita (the first operational wind park in western Romania), as well as with further corporate governance issues, general advice on project development and assistance in the negotiation of prospective project finance granted by a leading CEE bank for construction of the Oravita project. The deal involves complex public-procurement, regulatory and EU subsidies issues (estimated project value: EUR 17 million);
Advised Eurocape New Energy Ltd in connection with the acquisition of a Romanian company developing a wind project with a total capacity of 80 MW;
Advised Stream Invest Holding AG in connection with a due diligence on two wind farms (with an aggregate installed power of 35 MW) in view of obtaining financing for construction and with respect to related legal and regulatory issues.

Advised Martifer Group in connection with the sale of a large real estate property exceeding 900 hectares located in an area suitable for wind power projects;
Advised Windkraft Simonsfeld in connection with a land swap exchange transaction with a local competitor and a PPP agreement with the local municipality meant to secure the use of 800 ha of land for the purpose of developing a 84 MW wind farm;
Advised Sorne Wind in connection with the acquisition of approximately 700 ha of land and several real estate matters in the context of the development of a wind project close to Iasi;
Advised a Dutch group of investors in connection with securing public land in order to develop a greenfield co-generation CHP project;
Advised UniCredit Leasing Corporation IFN SA in connection with the acquisition by the client of a well known hotel operated by Accor in Romanian under a leasing arrangement.
